LLC Formation Agreement

I, of am acquiring the help of Vettore Media, LLC herein referred to as “company”, to form a Colorado LLC, acquire an EIN number as a Non-US resident/citizen foreign company, and to help in opening a bank account at mercury.com, and to establish my merchant account at stripe.com. In my relationship with company I understand I will not be given legal or tax advice regarding my endeavors to own and operate a Colorado, USA LLC nor does company claim to be a legal or tax expert who can give advice. Company has will refer me to various sources of information on the internet that I may choose to look at or not and I will not take such references as a referral or as legal or tax advice.

I understand that I must contact a US Tax professional or the IRS to determine what forms I will need to fill out for and to determine tax liability to the USA should there be any. I understand that company is not responsible for now nor will ever be responsible for any form of tax or legal obligation pertaining to and that I am solely responsible for all tax liability and/or legal consequences of the actions of not only in the United States of America, but also in any jurisdiction on a world wide scale. I will provide all information to company for the purpose of providing an administrative service as my agent and I authorize company to provide said services previously mentioned.

I have carefully reviewed the Mercury Bank and Stripe legal agreements and I am in agreement with them

Company will provide me with my Colorado LLC documents, US Employer Identification Number on form SS-4, login information for my bank account, and login information for my stripe account.

OTHER BUSINESS ENTITIES

If during the process of forming my Colorado LLC there are other agreements that I need to agree to company will make me aware of what these are so that I may review them and provide my consent.

REGISTERED AGENT SERVICE

I understand that company has hired a third party to provide a physical address where a person is always available during business hours as is required by Colorado law and that any official legal mail that gets sent there will be communicated to company and that company will promptly communicate this with me. My registered agent name and address will be listed on my LLC filing documents. I understand that I am permitted to receive five (5) pieces of mail at this address per year apart from any official mail from Lawyers, the federal government, or the state of Colorado. I understand that this service will be automatically renewed by company and that this renewal will cost whatever the current rate is at the time (currently $100 per year).

CONTINUED COMPLIANCE
I understand that the continuation of in good standing relies upon having a legal annual report filed on the anniversary date of my company filing or before. I agree to have company file said report each year and will pay a $100 fee for company to do so. Said fee includes fees paid to the state of Colorado. I understand that I may choose to file this report myself directly with the state of Colorado but that 60 days notice must be given to company regarding this decision.

CONCLUSION
I understand that my signature below indicates complete and total agreement with the above regarding my relationship with company and my responsibilities and the limitation of liability of company. I will contact a tax professional or the IRS to determine what I need to do to be compliant with US tax laws. I agree that company has acted in good faith and I will not seek damages in any way regarding any legal or other problems that may arise as a result of the formation of
